By filling out this form, you certify, represent, and warrant that (a) you are 18 years old or older (or the age of majority in your state of residence if the age of majority is greater than 18); (b) you possess all necessary intellectual property rights in and to the comments, ideas, depictions, sound recordings, photographs, moving images and other data, whether submitted by email, posting or otherwise (“Content”), that you submit to InstaNatural LLC, or its affiliates or authorized agents in connection with our Social Media Campaign (“Campaign”); (c) posting or use of the Content does not violate, infringe upon, or misappropriate the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights or any other rights of any person; (d) all persons described or depicted in the Content (the “Subjects”) (i) are 18 years old or older (or the age of majority in your state of residence if the age of majority is greater than 18), or (ii) the parents or guardians of each Subject, as applicable, gave you express permission to submit the Content; and (e) each Subject and the parent or guardian of each minor Subject, if applicable, assigned to you all rights related to the Content, including but not limited to, any rights of publicity related thereto.
You hereby grant InstaNatural an express, perpetual, irrevocable, royalty-free, worldwide, and non-exclusive license to access, store, reproduce, adapt, modify, format, delete, translate, transmit, use, disclose, sublicense, manipulate, prepare derivative works, publish, publicly perform, publicly display, distribute and communicate any and all Content, without any obligation, notification or compensation to you. This license is granted to InstaNatural with respect to any internal or commercial use of the Content, including, without limitation, the use, distribution, or publication of the Content in or by any website, social media platform or other form of media (e.g., Facebook®, Twitter®, Instagram®, Pinterest®, or YouTube®), whether owned by or licensed to InstaNatural’s, and any subsequent version or modification thereof (collectively, the “Sites”), and is subject to limitation only by InstaNatural’s removal of such Content from the applicable Site or the third party terms applicable to the user. For the avoidance of doubt, you acknowledge and agree that the foregoing license grants to InstaNatural the full right and authority to use, publish, transmit, modify, adapt, reformat, alter and sub-license the Content for any purpose whatsoever, including, without limitation, in connection with the administration of the Campaign and/or the transmission and cross-publication of such Content among the Sites. Please note, you should only provide Content that you are comfortable sharing with the general public.
You acknowledge that InstaNatural reserves the right, but not the obligation, to refuse to post or remove any Content in our sole and absolute discretion without notice to you.
You hereby release, waive, forever discharge, and hold harmless InstaNatural from any and all liability, loss, harm, damage, cost, expense, counsel fees, court costs, and claims, including but not limited to third party claims, except for any claims of gross negligence or willful misconduct of InstaNatural, based on publicity rights, privacy rights, defamation, or intellectual property related to the Content and InstaNatural’s use thereof or the rights granted here under.
PLEASE NOTE, FILLING OUT THIS FORM AND SUBMITTING YOUR CONSENT AND PERSONAL INFORMATION WILL RESULTS IN AN ENFORCEABLE CONTRACT BETWEEN YOU AND INSTANATURAL LLC.
